These Terms & Conditions ("Terms") govern your access to and use of Celesto AI provided by Celesto AI, Inc., a Delaware corporation ("Celesto AI", "we", "us", or "our"). We maintain our corporate registration in the State of Delaware and operate a global headquarters in London, United Kingdom. By accessing or using the services, you agree to be bound by these Terms. If you do not agree, do not use the services.

1. Accounts & Eligibility

You must be at least 16 years old (or the age of majority in your jurisdiction) to use the services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2. Subscriptions, Billing & Taxes

If you purchase a subscription, you authorize us (and our payment processors) to charge your payment method for all applicable fees, taxes, and recurring charges. Unless otherwise stated, subscriptions renew automatically until canceled. You can cancel at any time; cancellations take effect at the end of the current billing period. Fees are generally non‑refundable except where required by law.

3. Acceptable Use

• Comply with all applicable laws and regulations.
• Do not attempt to reverse engineer, interfere with, or disrupt the services.
• Do not use the services to create, upload, or distribute unlawful content.
• Respect third‑party rights and confidentiality of data accessed via integrations.

4. Integrations & Data

You may choose to connect third‑party systems (e.g., CRM, DMS, email, document storage, or custom APIs). You are responsible for having proper authorization to access and use such data. We act as a processor/service provider for data processed on your behalf. See our Privacy Policyfor details on data handling and security.

5. AI Outputs & Disclaimers

AI‑generated outputs may be inaccurate, incomplete, or reflect limitations of the underlying models and input data. You are responsible for evaluating outputs and using human oversight where appropriate. Celesto AI provides no warranties that outputs will meet specific accuracy or compliance requirements.

6. Intellectual Property

We retain all rights, title, and interest in and to the services and underlying technology. You retain ownership of your content and data. Providing feedback grants us a non‑exclusive, royalty‑free license to use that feedback to improve the services.

7. Confidentiality

Each party agrees to protect the other party’s confidential information with at least the same degree of care it uses to protect its own confidential information and not to disclose it except as permitted by these Terms or required by law.

8. Third-Party Services

The services may interoperate with third-party services. We are not responsible for third-party services, their terms, or their privacy practices. Your use of third-party services is governed by their own terms.

We work with select analytics and infrastructure partners to monitor service quality. They may process technical metadata, masked session replays, and approximate location information to help us diagnose issues and improve performance. These subprocessors act on our instructions, honor the privacy choices described in our Privacy Policy, and are listed in our subprocessor registry.

9. Warranties & Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CELESTOAI AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR DATA USE. IN ALL CASES, CELESTOAI'S TOTAL LIABILITY WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO CELESTOAI FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Celesto AI from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your use of the services or violation of these Terms.

11. Termination

We may suspend or terminate your access to the services at any time for violations of these Terms or for any behavior that poses risk to the services or other users. You may stop using the services at any time. Upon termination, sections that by their nature should survive will survive, including but not limited to intellectual property, confidentiality, disclaimers, and limitations of liability.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Venue and jurisdiction for disputes will lie in the state and federal courts located in New Castle County, Delaware, unless otherwise required by law.

13. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date reflects the most recent changes. Your continued use of the services after changes become effective constitutes acceptance of the updated Terms.
